SEC charges Adit Ventures and CEO Eric Munson over pre-IPO funds

The Securities and Exchange Commission on August 10 charged New York-based investment adviser Adit Ventures Management LLC, its chief executive Eric Munson, and three affiliated general partners — Adit Ventures LLC, Adit Ventures II LLC and Adit Ventures III LLC — with defrauding investors and client funds in connection with investments in pre-IPO shares, according to the commission's announcement (@SECGov, 20:25 UTC), which links to press release 2026-73.
The alleged conduct has two strands. The SEC says the defendants misappropriated advisory client assets, and separately that they charged millions of dollars in undisclosed fees. The pre-IPO positions named in the announcement are shares in SpaceX and Klarna. Neither company is a defendant, and neither is accused of any wrongdoing; they appear as the underlying assets in the funds Adit ran.
"Investment advisers are entrusted with acting in their clients' best interests," said Corey A. Schuster, chief of the Enforcement Division's Asset Management Unit, in the announcement. "Here, the defendants allegedly engaged in repeated fraudulent acts to benefit or enrich themselves."
These are allegations, untested in court. The commission's announcement does not put a total dollar figure on the alleged misappropriation, name the venue, state how many investors were affected, or describe the relief sought — that detail sits in the underlying complaint and full release. Adit and Munson have not publicly responded, and no admission or denial has been reported. No digital asset, token or crypto intermediary appears anywhere in the SEC's account of the case.
