MoonPay says it will acquire SEC-registered private-markets platform North Capital in an all-stock deal that CoinDesk sources value at more than $60 million, pending regulatory approval.

Crypto payments firm MoonPay plans to acquire North Capital, a Salt Lake City private-markets investment platform, in an all-stock deal, the company said in an emailed announcement on Wednesday reported by CoinDesk. The stated goal: fold North Capital's securities-tokenization plumbing and its regulatory licenses into MoonPay's operations.

The headline number — "more than $60 million" — comes not from MoonPay's announcement but from unnamed "sources familiar with the matter" cited by CoinDesk. MoonPay did not put a public price on the deal, so treat the figure as reported, not confirmed.

What MoonPay is actually buying is the registrations. North Capital's affiliates hold broker-dealer, trading, transfer-agent and investment-adviser registrations with the U.S. Securities and Exchange Commission, per CoinDesk, and its platform provides the infrastructure to tokenize private securities — capital raising, asset management, clearing, custody and secondary trading.
