Evernorth's S-4 goes effective, putting an XRP treasury vehicle on track for Nasdaq

Evernorth, an XRP treasury company backed by Ripple, said the SEC declared its S-4 effective, clearing a path to list on Nasdaq under the ticker XRPN via a SPAC merger with Armada Acquisition Corp. II.

Evernorth Holdings said the U.S. Securities and Exchange Commission has declared its Form S-4 registration statement effective, removing the main regulatory obstacle to taking a dedicated XRP treasury company public on Nasdaq, The Block reported on Aug. 28, citing the company's own announcement.

The listing route is a merger with Armada Acquisition Corp. II, a special purpose acquisition company. If the combination closes, the surviving entity is expected to trade under the ticker XRPN. Evernorth told The Block it expects the deal to close in late Q3 or early Q4 of this year — so roughly September to October 2026 — subject to shareholder approval, which has not yet happened.

The registration statement covers up to 34,499,992 shares of Evernorth Class A common stock and 11,499,992 warrants issuable in the combination. That is a registration ceiling, not a fundraising figure: it caps how many securities may be issued, and says nothing about how much cash survives redemptions from the SPAC's trust.

Evernorth's disclosed backers include Ripple, Arrington Capital, SBI Group, Pantera Capital, Kraken and GSR. Founder and CEO Asheesh Birla framed the timing around institutional adoption, saying the firm plans to enter public markets "as blockchain utility continues to grow" and that Evernorth is "designed to accelerate XRP's role in that work."

XRP was the fifth-largest cryptocurrency by market value at the time of The Block's report, trading at $1.46 with a market capitalization of $91.6 billion and up about 4% over the prior 24 hours, per The Block's price page. Those two figures are internally consistent, implying roughly 62.7 billion tokens in circulation.

The real-world read

"Effective" is a paperwork milestone, not a blessing. It means the SEC has finished its disclosure review; the agency does not pass on the merits of a deal or the asset behind it. Treating an effectiveness notice as validation of XRP is exactly the misreading the announcement invites.

The framing here is doing work for interested parties. Ripple — XRP's largest single stakeholder — is an investor in a listed vehicle whose purpose is to hold XRP. Kraken and GSR trade it. Birla ran Ripple's payments business before founding Evernorth. Every voice in this story is long the asset.

Conspicuously unsaid: how much XRP Evernorth actually holds, the deal's valuation, the size of Armada's trust, expected redemption levels, management fees, and any PIPE. A treasury company is essentially a fee structure wrapped around a token balance, and neither number is public yet. Shareholder approval is also still outstanding.

One disclosure worth carrying over: The Block states that Foresight Ventures, a crypto investor, is its majority owner, and that Bitget is an anchor LP in Foresight.

Opinion, and whose

The only forecast on record is Evernorth's own — Birla's view that institutional finance "will increasingly be built on-chain," and the company's projected late-Q3/early-Q4 close. Both are the issuer's claims about its own prospects, not established fact.
